Effective August 1, 2026
This End-User License Agreement (“Agreement”) is between you (“you” or “User”) and FiscalFounders Inc. (“FiscalFounders,” “we,” “our,” or “us”). It governs your access to and use of the FiscalFounders application, including any features that connect to your QuickBooks Online account (the “App”). By accessing or using the App, you agree to be bound by this Agreement. If you do not agree, do not access or use the App.
By creating an account, connecting a QuickBooks Online account, or otherwise accessing or using the App, you confirm that you have the authority to accept this Agreement on behalf of yourself or the business you represent. If you do not have that authority, or do not agree to these terms, you may not use the App.
Subject to your compliance with this Agreement, FiscalFounders grants you a limited, non-exclusive, non-transferable, revocable license to access and use the App solely for your own internal business purposes in connection with the accounting and bookkeeping services FiscalFounders provides to you. This license does not grant you any ownership interest in the App.
Certain features of the App require you to connect a QuickBooks Online account through Intuit’s OAuth authorization process. By connecting your account, you represent that you have the right to authorize that access. Our access to and use of data obtained through that connection is described in our QuickBooks Privacy Policy, which is incorporated into this Agreement by reference. Your use of QuickBooks Online remains subject to Intuit’s own terms of service, separate from this Agreement.

The App, including its software, design, branding, and all related intellectual property, is owned by FiscalFounders or our licensors and is protected by applicable intellectual property laws. Nothing in this Agreement transfers any ownership rights in the App to you. Any feedback you provide about the App may be used by FiscalFounders without restriction or obligation to you.
As between you and FiscalFounders, you retain ownership of your company and financial data, including data accessed from your connected QuickBooks Online account. You grant FiscalFounders the right to access, process, and use that data solely to provide the App and the accounting services you’ve engaged us for, as described in our QuickBooks Privacy Policy.
The App may link to or integrate with third-party services, including QuickBooks Online. FiscalFounders does not control, and is not responsible for, those third-party services, and your use of them is governed by their own terms and policies.
This Agreement remains in effect until terminated. Your license to use the App ends automatically if your engagement with FiscalFounders ends, if you disconnect your QuickBooks Online account, or if you breach this Agreement. FiscalFounders may also suspend or terminate your access to the App at any time, with or without cause. Upon termination, your right to use the App ends immediately, though provisions of this Agreement that by their nature should survive termination (including Sections 5, 9, 10, and 11) will continue to apply.
The App is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. FiscalFounders does not warrant that the App will be uninterrupted, error-free, or secure, or that any data synced with QuickBooks Online will always be accurate or available.
To the fullest extent permitted by law, FiscalFounders will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the App, even if advised of the possibility of such damages. FiscalFounders’ total liability arising out of or related to this Agreement will not exceed the amount you paid FiscalFounders for the services giving rise to the claim in the twelve months preceding the claim.
You agree to indemnify and hold FiscalFounders harmless from any claims, losses, or damages, including reasonable attorneys’ fees, arising out of your misuse of the App, your violation of this Agreement, or your violation of any third party’s rights, including in connection with your connected QuickBooks Online account.
This Agreement is governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or related to this Agreement will be subject to the exclusive jurisdiction of the state and federal courts located in California, and you consent to personal jurisdiction in those courts.
We may update this Agreement from time to time. Material changes will be reflected by an updated effective date at the top of this page. Continuing to use the App after changes take effect constitutes your acceptance of the revised Agreement.
